Terms of Service

These Terms of Service ("Terms") govern your access to and use of Pencil & Pay, operated by Yarrum Apps (Australia) ("we", "us", "our"). By creating an account or using our service, you agree to these Terms. If you do not agree, do not use the service.

1. The service

Pencil & Pay is a proposal and invoice management tool for freelancers and small businesses. It allows you to create proposals, send them to clients for acceptance, convert them to invoices, and collect online payments via Stripe.

2. Account registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@pencilandpay.com if you suspect unauthorised access.

3. Plans and pricing

Pencil & Pay offers two plans:

  • Free plan — limited to 3 proposals, 3 invoices, and 1 client. No charge.
  • Pro plan — unlimited proposals, invoices, and clients at $12 AUD/month or $99 AUD/year.

All prices are in Australian dollars and include GST where applicable. We reserve the right to change pricing with 30 days notice to existing subscribers.

4. Payments and refunds

Pro subscriptions are billed in advance on a monthly or annual basis via Stripe. Subscriptions renew automatically unless cancelled before the renewal date.

Client payments on your invoices are processed by Stripe Connect. A transaction fee of 1.7% + 30¢ applies to Australian card payments (Stripe's standard rate). International card fees may vary.

We offer a refund within 7 days of your first Pro subscription charge if you are unsatisfied. After this period, refunds are issued at our discretion. To request a refund, contact hello@pencilandpay.com.

5. Acceptable use

You agree not to:

  • Use the service for unlawful purposes or in violation of any applicable law.
  • Send fraudulent proposals or invoices.
  • Attempt to gain unauthorised access to any part of the service or other users' accounts.
  • Use the service to transmit spam, malware, or harmful content.
  • Reverse engineer, copy, or create derivative works of the service.

6. Your data

You own your data — your clients, proposals, invoices, and financial records. We do not claim ownership of any content you create using the service. By using Pencil & Pay, you grant us a limited licence to store and process your data solely to provide the service.

7. Service availability

We aim to provide a reliable service but do not guarantee 100% uptime. We may perform maintenance that temporarily interrupts the service and will give reasonable notice where possible. We are not liable for losses resulting from service outages.

8. Termination

You may cancel your account at any time from the Settings screen. On cancellation, your Pro plan will remain active until the end of the current billing period.

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

9. Limitation of liability

To the maximum extent permitted by Australian law, Yarrum Apps is not liable for any indirect, incidental, or consequential damages arising from your use of the service, including loss of revenue, data, or business opportunities. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

10. Governing law

These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.

11. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
